This page details iridius limited's terms and conditions for creative clients, seminar delegates and people or companies using our training services.

creative services

All work is carried out by iridius limited on the understanding that the client has agreed to iridius limited's terms and conditions.

Copyright is retained by iridius limited on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled.

If a choice of design is presented, only one solution is deemed to be given by iridius limited as fulfilling the contract. All other designs remain the property of iridius limited, unless agreed in writing that this arrangement has been changed.

Project acceptance
At the time of proposal, iridius limited will provide the customer with a written estimate or quotation by email.

This email is to be replied to by the customer to indicate acceptance and should be returned to iridius limited. Alternatively, the client may send an official order in reply to the estimate or quotation which binds the client to accept iridius limited's terms and conditions. No work on a project will commence until either document has been received by iridius limited.

Design charges
Charges for design services to be provided by iridius limited, will be set out in the written estimate or quotation that is provided to the customer.

Charges for other services
Charges for any additional services over and above the estimated design, will be quoted separately and will not be started until iridius limited receive agreement from the client.

Payment
The customer will be provided with an invoice at the conclusion of any project. At this time the full amount is due within 30 days. Accounts which remain outstanding for more than 30 days after the date of invoice, will incur an extra charge of 2% per month of the outstanding amount.

Payments may be made by cash, cheque, or (for overseas customers), Pound Sterling International Money Order or previously agreed electronic funds transfer.

Publication and/or release of work done by iridius limited on behalf of the client, may not take place before cleared funds have been received.

Returned cheques will incur an additional fee of £50 per returned cheque. iridius limited reserves the right to consider an account to be in default in the event of a returned cheque.

Default
An account shall be considered default if it remains unpaid after 30 days from the date of invoice, or following a returned cheque. iridius limited shall be considered entitled to remove iridius limited and/or the customer's material from any and all computer systems, until the amount due has been fully paid. This includes any and all unpaid monies due for services, including, but not limited to, hosting, domain registration, search engine submission, design and maintenance, sub-contractors, printers, photographers and libraries.

Removal of such materials does not relieve the customer of it's obligation to pay the due amount. Customers whose accounts become default agree to pay iridius limited reasonable legal expenses and third party collection agency fees in the enforcement of these Terms and Conditions.

Copyrights and trademarks
By supplying text, images and other data to iridius limited for inclusion in the customer's website or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.

Any artwork, images, or text supplied and/or designed by iridius limited on behalf of the customer, will remain the property of iridius limited and/or it's suppliers.

The customer may request in writing from iridius limited, the necessary permission to use materials (for which iridius limited holds the copyright) in forms other than for which it was originally supplied, and iridius limited may, at it's discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used.

By supplying images, text, or any other data to iridius limited, the customer grants iridius limited permission to use this material freely in the pursuit of the design.

Should iridius limited, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow iridius limited to remove and/or replace the file.

The customer agrees to fully indemnify and hold iridius limited free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.

Alterations
The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge.

The customer also agrees that iridius limited holds no responsibility for any amendments made by any third party, before or after a design is published.

seminar bookings

Payment terms
When booking online you must either pay by credit card or request an invoice be sent. If you request an invoice, payment must be received within 7 days by cheque or your place on the seminar will no longer be held. We reserve the right to refuse admission or re-allocate the place to another delegate if payment is not received either by credit card at the time of booking or by cheque within 7 days of the booking. Cheques must be cleared 7 days prior to any event.

Transfers
If you wish to transfer to another seminar your request must be received, in writing or by email to contactus@iridius.co.uk, at least 14 days before the seminar, stating the date and name of the seminar to which you wish to transfer. We will allow you one transfers if necessary. If you wish to transfer to a seminar that is more expensive you will be required to pay the difference. A substitute delegate can be named at any time before the programme begins.

Cancellations
If you need to cancel your booking, your cancellation must be received in writing or by email to contactus@iridius.co.uk, at least 14 days before the seminar. If payment has been made a refund will be arranged. Please note below the administrative charges, based on the seminar cost, for cancellations:

  • 14 or more working days before the seminar: 
    FREE (or transfer to another seminar free)
  • 7-13 working days before the seminar: 
    50% of cost of the seminar plus VAT (or transfer to another seminar free)
  • 6 or less working days before the seminar: 
    100% of cost of the seminar plus VAT

If you are unable to attend, even if for reasons beyond your control, the above conditions in relation to transfers and cancellations will apply.

A substitute delegate can be named at any time before the programme begins.

Changes to the programme
It may be necessary for reasons beyond our control to change the content and timing of the programme, the speakers, the date or the venue. We shall give you as much notice of any changes as we can. In the unlikely event of a being cancelled, we will automatically make a full refund but disclaim any further liability.

Disclaimer
The contents of our seminars are intended to be informative and interesting. However, by their very nature the are general. You are strongly advised to seek independent advice on any problem you may have as we cannot accept responsibility for any loss arising from reliance on anything set out or our seminars, even errors or omissions.

Other terms
All bookings on our seminars are strictly subject to the above terms and conditions and your acceptance of them constitutes a legally binding contract under English law. You will be deemed to have accepted these terms and conditions at the time of booking if using our website or for bookings made in any other way. You agree that any disputes arising from this booking are exclusively within the jurisdiction of the English Courts.

training bookings
